Larderia Terms of Service

These terms govern the use of Larderia, an app for Shopify stores that forecasts demand from sales history, suggests when and how much to reorder, prepares purchase orders for your suppliers and records in your Shopify inventory what you confirm as received. By installing Larderia, or by using it on behalf of a store, you accept these terms, the App Privacy Policy and the Data Processing Agreement, which form part of them.
1. Who provides the service
- Larderia is provided by Santiago Gili Silvestre, a self-employed individual (autónomo) with Spanish tax ID 34764541H and address at C/ Dels Montcada, 45, Local, 08203 Sabadell (Barcelona), Spain ("Larderia", "we", "us"), who presents his apps under the trade name ENRIC (not a separate company). Contact: hello@enric.app.
- Larderia is not affiliated with or endorsed by Shopify Inc. Shopify and Stocky are trademarks of Shopify Inc.; Larderia is not Stocky or its official successor.
- Relationship with Shopify. We are solely responsible for Larderia. Shopify is not liable for any fault in the app or for any harm that may result from installing or using it, and Shopify does not provide help with installing or using it unless Shopify expressly says otherwise. Any liability that may arise from your access to or use of Larderia (including its development, marketing, distribution and support, and the access, use and storage of your store data) is ours and not Shopify's, within the limits of these terms.
2. Definitions
- Merchant or you: the owner of the Shopify store where Larderia is installed, who contracts and pays for the service.
- Agency: a business or professional that manages merchants' stores and uses Larderia on their behalf.
- User: anyone who accesses Larderia with the store's permission (merchant or agency staff).
- Store data: the catalog, inventory, sales calculated from orders, the suppliers and settings you enter and the forecasts the app calculates.
- Forecast: the estimate of a variant's future demand and everything calculated from it: days of stock left, stock-out date, order date, reorder point, suggested quantity, confidence level, turnover and dead stock.
- Purchase order: the order to a supplier that you create and manage in the app (from the suggested quantities or by hand), with its PDF and CSV.
- Purchase order CSV: the file the app generates with the lines of an order, for you to review and, if you wish, import into Shopify.
- Receipt: your confirmation in the app of the goods received for a purchase order.
3. Business use only
Larderia is a service for businesses and professionals. By accepting these terms you confirm that you use it for purposes related to your trade, business or profession and not as a consumer. This also applies if you are a self-employed individual: you use it for your business. If applicable law nevertheless treats you as a consumer, you keep the rights that law does not allow to be excluded, and nothing in these terms limits them.
4. What Larderia does and does not do
4.1. The service. While installed, Larderia:
- reads your store's catalog, inventory, locations, order history (the last 60 days, or more if Shopify approves access to older orders) and the fulfillments of those orders, and keeps them up to date through Shopify's webhooks;
- calculates daily sales per variant and location, attempts to correct for days with no stock, and estimates demand with statistical methods that depend on the available history;
- shows, per variant, days of stock left, a suggested order date, the reorder point and a suggested quantity, taking into account your supplier settings (lead time, minimum order, pack multiple, coverage and safety days), with a confidence level and an explanation of the calculation;
- groups what to reorder by supplier and lets you create purchase orders, download them as PDF and CSV (using the columns of Shopify's purchase order import template) and, when you tell it to, email them to your supplier;
- imports purchase orders from a Stocky CSV export;
- when you confirm a receipt, adds the received quantities to Shopify inventory at the destination location (section 4.3);
- reports dead stock (variants with no sales over a period) valued at the cost recorded in Shopify;
- if you turn it on, sends you a daily or weekly digest by email or to your Slack channel, and shows you how accurate the forecast is and a log of the app's actions.
Features and their availability by plan are described in the App Store listing, on the website and in the app. A feature announced as "planned", "coming soon" or "later" is not part of the service until the app shows it as available.
4.2. FORECASTS ARE ESTIMATES; PURCHASING DECISIONS ARE YOURS. This section is an essential part of the service:
- FORECASTS AND SUGGESTED QUANTITIES ARE ESTIMATES calculated from past data. They are not a promise of future sales, nor professional purchasing, financial or accounting advice.
- WE DO NOT GUARANTEE THAT YOU WILL AVOID STOCK-OUTS, OVERSTOCK, DEAD STOCK OR ANY PARTICULAR BUSINESS RESULT. Actual demand may differ substantially from the forecast.
- THE DECISION OF WHAT, HOW MUCH, WHEN AND FROM WHOM TO BUY IS SOLELY YOURS, as are negotiating, issuing and paying for purchase orders with your suppliers. Larderia only sends an order to a supplier when you tell it to, with the content you have reviewed; it does not confirm or pay for purchase orders and takes on no obligation on your behalf.
- Always review before ordering. You are responsible for checking every suggested quantity and every line of the purchase order and its CSV before using or sending them, and for adjusting them for anything the app cannot know.
- Forecast accuracy depends on data we do not control: the quality and length of your Shopify history (with only 60 days of orders, yearly seasonality cannot be detected), whether inventory, costs, vendor and SKUs are up to date, the webhooks Shopify delivers or delays, and the settings you enter (above all, each supplier's real lead time).
- The app cannot anticipate, among other things: new products or products with little history, irregular sales, promotions, campaigns or price changes, trend shifts, one-off orders, supplier delays or shortages, abnormal returns, logistics problems or external events. Stock-out correction uses the observed stock-level history or, when there is none, an approximation that may be wrong.
- The confidence level (high, medium or low) and the explanation of the calculation are indicative: they help you decide how much to rely on a forecast but do not guarantee the result.
- The dead-stock value is calculated with the unit cost recorded in Shopify and is for information only; it is not an accounting or tax valuation of your inventory.
4.3. What the app changes in your store. Larderia requests read permissions from Shopify and a single write permission, on inventory (write_inventory). It uses it only when you confirm a receipt: it adds the quantities you enter to the inventory of the destination location, activates the item at that location if needed and, if you tick the box, updates its unit cost with the cost the app calculates. It does not change your products, your customer orders or your locations. Review quantities and costs before confirming a receipt: Larderia records them as you confirm them; if you make a mistake, correct it in Shopify. You download and, if you wish, import the purchase order CSV into Shopify yourself. If a future feature needed other write permissions, we would tell you beforehand, it would be optional and Shopify would ask you to approve them.
4.4. Not a replacement for other systems. Larderia is not a warehouse management, accounting or procurement system and does not replace Shopify exports or your own records.
5. Your responsibilities
- Decide and review. You are responsible for your purchasing decisions and for reviewing forecasts, suggested quantities, purchase orders and their CSV before using them (section 4.2).
- Accurate data. Keep inventory, costs, SKUs or barcodes and each product's vendor up to date in Shopify, and each supplier's settings up to date in the app. Forecasts depend on them.
- Users and access. You decide who accesses Larderia from your store and are responsible for what your users and your agency do in the app.
- Supplier data. If you enter emails or notes with personal data of your suppliers' contacts, you must have a legal basis to do so and must not include unnecessary data or special categories of data.
- Receipts and sending. You are responsible for the receipts you confirm (and the inventory and cost adjustments they entail), for the orders you email and for the supplier's email address being correct. Orders are sent from a Larderia address under your store's name, with a copy and replies going to your store's contact email in Shopify.
- Slack and digest email. The Slack webhook URL and the email you enter for the digest are yours: keep the URL secret and remove it in Settings if it stops being valid or you share it by mistake.
- Shopify. You must comply with the Shopify terms that apply to you.
6. Acceptable use
You may not, and may not allow others to:
- use Larderia on a store without its owner's authorisation;
- try to access other stores' data, circumvent security measures or technical or plan limits, or test for vulnerabilities without our written permission;
- reverse engineer, decompile or copy the app, except as expressly permitted by law;
- use Larderia for unlawful or fraudulent activities, or store unlawful content in it (for example, in supplier notes or the logo);
- overload the service or use it in an automated way outside the app interface;
- resell, sublicense or make the service available to third parties, except agency use under section 7.
These terms do not prevent you from working with other providers, using other apps or developing products that compete with Larderia.
7. Agencies
- An agency uses Larderia on the merchant's behalf and with their authorisation. By installing or managing the app on a merchant's store, the agency confirms it has that authorisation and has made these terms known to the merchant.
- The contract is with the merchant who owns the store and approves the charge in Shopify. The agency is liable to us and to the merchant for the actions it and its staff take in the app and for any breach of these terms.
- If the merchant revokes the agency's access or stops working with it, the agency will no longer access that store's data; the data remains the merchant's.
8. Pricing, billing and trial
- Plans and prices. Prices are per store, in US dollars, plus applicable taxes, which Shopify may add to its invoice. If your Shopify invoice is in another currency, Shopify applies its conversion and fees. Yearly billing costs the same as 10 monthly payments ("2 months free"). The current details of each plan are on the App Store listing and on the app's "Plan" screen; the price you are charged is the one you approve in Shopify when you subscribe.

- Billing. Handled by Shopify through its app billing system. You can pay monthly (one charge every 30 days) or yearly (one yearly charge), depending on the option you choose on Shopify's plan page, and switch between them on that same page. The "billing period" is therefore 30 days with monthly billing and one year with yearly billing. You approve the charge when you install or change plans. We do not receive or store your card details.
- Free trial. The paid plans (Starter, Growth and Pro) include a 14-day free trial. If you cancel during the trial, you are not charged anything. When it ends, the plan you approved starts being charged, with the monthly or yearly billing you chose, unless you cancel first. The Free plan has no trial because it is free.
- Price changes. We will give you at least 30 days' notice. The new price applies from the next billing period after the notice (with yearly billing, from the next yearly renewal) and, where Shopify requires it, needs your approval of the new charge. If you disagree, you can cancel with the refund in section 9.
- Plan changes. You can upgrade or downgrade yourself from the plan page, without contacting us. If you move to a plan with fewer variants, locations or features, the app will stop calculating or showing whatever exceeds the new plan. Changes of plan and between monthly and yearly billing are handled by Shopify, which adjusts the charge under its proration rules. If you move from a paid plan to the Free plan, Shopify applies the change at the end of the period already paid (with yearly billing, at the end of the year) and you keep your plan until then; if you would rather get your unused days back, cancel the plan or uninstall the app and section 9.2 applies. If, after a change, an amount remains in your favour that Shopify does not offset, we refund it under section 9.
9. Cancellation and refunds
Cancel anytime and get your unused days back. Not satisfied? We refund you. Specifically:
- Cancelling. You can cancel at any time by uninstalling the app or cancelling the plan in Shopify. The service ends at that moment.
- Unused days. We refund the part of the last charge that corresponds to the full days left in the current billing period: amount paid × unused days ÷ days in the period. Example: for a 30-day period paid at $19, if you cancel after using 14 days, we refund 16/30 of $19 ($10.13). Days already used are not refunded. With yearly billing the same rule applies, with the year as the period: for example, if you pay $190 for a year and cancel after using 100 days, we refund 265/365 of $190 ($137.95). You do not need to ask: we issue it within 14 days of cancellation; if you do not receive it, write to hello@enric.app.
- Not satisfied. If Larderia is not right for you, we refund the full amount of the last charge if you ask within 30 days of that charge. No explanation needed. This refund applies once per store in any 12-month period and does not cover charges before the last one. With yearly billing, the last charge is the yearly one: if you ask within 30 days of that charge, we refund the full yearly payment; after those 30 days, when you cancel we refund the unused days of the year (point 2). Free trial days are not charged, so they do not count as a charge.
- Our mistakes. If a failure attributable to Larderia prevents you from using an essential feature of the service, we also refund the pro-rata part of the affected period, even if you do not cancel. Actual demand differing from the forecast is not, in itself, a failure of the app (section 4.2).
- How refunds are paid. Because Shopify handles billing, refunds always go through Shopify, never by any other route. If the charge has been paid, we issue a refund from our Shopify Partner Dashboard and it reaches your Shopify invoice or payment method within Shopify's timelines. If the charge has not been paid yet, we give you an app credit in Shopify, which is deducted from what you still owe or from your next Larderia charges. If a refund cannot be issued from the dashboard (for example, a charge more than 12 months old or above USD 1,000), we process it with Shopify Support. The amount is calculated in US dollars, the currency of the charge.
- Abuse. We may refuse refunds under points 3 and 4 where there are clear signs of fraudulent or abusive use (for example, repeatedly installing and uninstalling to use the service for free, or repeatedly installing, downloading forecasts and asking for a refund). We will explain our reasons in writing.
- These rules do not limit any rights you have under applicable law.
10. Availability, support and service changes
- We work to keep the service available and to recalculate forecasts regularly, but we do not guarantee uninterrupted or error-free service, or any particular availability or update time.
- Dependence on Shopify. Larderia depends on Shopify's platform, API and webhooks, and on Shopify approving and maintaining the required permissions (for example, access to orders older than 60 days or to protected data). We are not liable for Shopify outages, delays, lost webhooks, limits, withdrawn permissions or changes, or their effects on forecasts.
- Support: by email, on business days, with the target response times published for each plan. They are targets, not guaranteed deadlines.
- We may improve or change the service, including forecasting methods. If we withdraw an essential feature of your plan, we will give you at least 30 days' notice and you may cancel with the refund in section 9.
11. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, LARDERIA IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF FORECASTS, RESULTS OR ABSENCE OF ERRORS. THIS SECTION DOES NOT EXCLUDE WARRANTIES THAT CANNOT BE EXCLUDED BY LAW.
12. Limitation of liability
- OVERALL CAP. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE, WHATEVER THE CAUSE, WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR LARDERIA FOR THE AFFECTED STORE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD 100.
- EXCLUDED DAMAGES. WE ARE NOT LIABLE FOR LOST PROFITS, LOST SALES, BUSINESS, GOODWILL OR REPUTATION, OR FOR INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY. IN PARTICULAR, WE ARE NOT LIABLE FOR SALES LOST THROUGH STOCK-OUTS, OR FOR THE COSTS OF BUYING TOO MUCH OR TOO LITTLE (EXCESS INVENTORY, STORAGE, OBSOLESCENCE, EXPIRY, CLEARANCE, RUSH ORDERS, FREIGHT OR SUPPLIER PENALTIES), ARISING FROM PURCHASING DECISIONS BASED IN WHOLE OR IN PART ON FORECASTS, PURCHASE ORDERS OR THE PURCHASE ORDER CSV, NOR FOR INVENTORY OR COST DIFFERENCES CAUSED BY RECEIPTS YOU CONFIRM WITH WRONG QUANTITIES OR COSTS.
- EXCEPTIONS. THE ABOVE LIMITS DO NOT APPLY: (A) TO OUR WILFUL MISCONDUCT (DOLO) OR GROSS NEGLIGENCE (LIABILITY FOR WILFUL MISCONDUCT CANNOT BE EXCLUDED: ART. 1102 OF THE SPANISH CIVIL CODE); (B) TO DEATH OR PERSONAL INJURY; (C) TO LIABILITY TOWARDS DATA SUBJECTS UNDER DATA PROTECTION LAW; (D) TO ANY OTHER LIABILITY THAT APPLICABLE LAW DOES NOT ALLOW TO BE LIMITED OR EXCLUDED, INCLUDING MANDATORY CONSUMER RIGHTS WHERE APPLICABLE.
- These limitations are an essential part of the price of the service.
13. Indemnity
You will indemnify us against third-party claims (including from your suppliers or, if you are an agency, the merchant) arising from your purchase orders (including those you send from the app), from using Larderia on a store without authorisation, from supplier data you enter or from a breach of these terms by you or your users, provided we notify you of the claim promptly and let you control the defence.
14. Force majeure
Neither party is liable for failures caused by events beyond its reasonable control, such as Shopify or infrastructure provider outages or changes, general internet failures, cyberattacks despite reasonable measures, disasters, conflicts, epidemics or decisions of authorities. The affected party will notify the other and take reasonable steps to limit the effect. If the situation lasts more than 30 days, either party may terminate, with a refund of unused days.
15. Suspension and termination by us
- We may suspend a store's access, in whole or in part, in case of a security risk, use contrary to section 6, an order from an authority or non-payment reported by Shopify. We will give notice beforehand where possible, explain our reasons and how to challenge the decision in writing, and lift the suspension once the cause is gone.
- We may terminate the service for a store: (a) with 30 days' notice, without cause; or (b) immediately for a material breach not remedied within 10 days of our notice, or at once if it cannot be remedied. In case (a), and if we stop providing Larderia altogether, we refund unused days.
16. End of service and data deletion
- When you cancel or uninstall, access to forecasts, suppliers, purchase orders and their settings ends. Download what you need first (for example, your orders' PDF or CSV). Inventory adjustments the app already made when you confirmed receipts remain in Shopify. Your catalog, inventory and orders remain in Shopify.
- Shopify notifies us about 48 hours after uninstall (
shop/redact) and we then delete all store data; if that notice never arrived, we delete it automatically 22 days after uninstall. Technical backups are overwritten within 7 days at most, so, as Shopify requires, the store's data is also gone from backups within 30 days at most of uninstall. Copies of emails the app has already sent are kept by our email provider for the period stated in the Privacy Policy. If you reinstall Larderia later, you will need to enter your suppliers again and the app will re-read whatever order history Shopify allows. - We keep only what the law requires (for example, billing data) and the minimal proof of deletion described in the Privacy Policy.
17. Intellectual property
- Larderia, its software, calculation methods, design, brands (including the trade name ENRIC) and documentation belong to Santiago Gili Silvestre or his licensors. We grant you a non-exclusive, non-transferable, revocable right to use Larderia in your store while these terms are in force.
- Your store data is yours, including the forecasts, purchase orders and PDFs and CSVs the app generates for you, which you may use freely in your business. You grant us a limited licence to process the data only to provide the service, under the Data Processing Agreement.
- If you send us suggestions, we may use them freely to improve Larderia, without any obligation to compensate you.
- We may produce aggregated technical metrics about how the service runs that do not identify your store or any person.
18. Data protection
Processing of personal data is governed by the App Privacy Policy and the Data Processing Agreement, which prevails over these terms as regards personal data.
19. Content and point of contact (Digital Services Act)
- Single point of contact. For the authorities of the Member States, the European Commission and the European Board for Digital Services, and for any user: hello@enric.app. We answer in English and Spanish. Replies are written by a person, not an automated tool.
- Content you store in the app. Larderia keeps what you enter (for example, supplier notes or the logo) only to provide the service and does not publish it. We do not actively review that content or use algorithms to moderate it.
- Notices of illegal content. Anyone can notify us by email at hello@enric.app of a specific item they believe is illegal, explaining why, where it is (store and screen), and their name and email (except where the law allows them not to give them). We will acknowledge receipt, a person will review it and we will tell the notifier and the affected merchant our decision, with the reasons and how to challenge it (by email to the same address). If we remove content or suspend access, section 15 applies.
20. Changes to these terms
We may change these terms. For material changes we will notify you by email and in the app at least 30 days in advance, unless a law or authority requires a shorter period. If you keep using Larderia after that date, you accept the changes; if you disagree, you can cancel beforehand with a refund of unused days. Price changes also follow section 8.4.
21. General
- Assignment. You may not assign this contract without our consent. We may assign it to a company that continues the Larderia business (for example, a limited company owned by the same owner), with prior notice to you.
- Severability. If a clause is void or unenforceable, the rest remains in force and that clause will be replaced by the valid clause closest to its purpose.
- No waiver. Not exercising a right does not waive it.
- Entire agreement. These terms, with the Privacy Policy and the Data Processing Agreement, are the entire agreement between the parties about Larderia.
- Notices. We will write to your store's contact email or within the app; you can write to hello@enric.app.
- How the contract is made. The contract is made electronically: you install Larderia from the Shopify App Store, approve in Shopify the permissions the app requests and, if you choose a paid plan, the charge. Before approving you can review the chosen plan and go back; afterwards you can change plans at any time (section 8.5). These terms are always available on this page, which you can save or print; we do not archive an individual copy of each acceptance, and Shopify keeps the history of your charges. The contract can be made in English or Spanish. As neither party is a consumer, we agree that no confirmation of acceptance is needed beyond the one Shopify shows (Art. 28(3) of Spanish Law 34/2002).
22. Language
These terms are published in Spanish and English. In case of conflict, the Spanish version prevails, unless applicable law requires otherwise.
23. Governing law and jurisdiction
- These terms are governed by Spanish law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- If your business is established outside Spain, the parties submit to the courts of Sabadell (Spain) for any dispute, to the extent the applicable rules allow (in the European Union, Art. 25 of Regulation (EU) 1215/2012).
- If your business is established in Spain, the competent courts are those determined by Spanish procedural law.
- If applicable law treats you as a consumer, this section does not deprive you of the protection of the mandatory rules of your country of residence or of your right to sue in the courts of your domicile.
- Before going to court, please write to hello@enric.app so we can try to resolve the matter amicably within 30 days.
